Purpose of the Job:
The Compliance Officer will oversee regulatory and compliance requirements for companys IFSC branch at GIFT City.
The role is to ensure adherence to IFSCA regulations along with SEZ and SEBI regulations (wherever applicable), managing governance processes and act as the key liaison with regulatory and statutory authorities.
Key responsibilities:
Drafting and vetting of PPM, offer documents, contribution agreement, investment management agreement, trust deed, etc. and liaising with the regulators for obtaining requisite approvals and responding to observations / queries by the regulators,
Vetting/drafting of various agreements with vendors, distributors, service providers, etc
Understanding of the laws of various overseas jurisdictions where the fund is distributed,
Review of marketing materials for the Fund,
Listing/registering of the Funds at various overseas jurisdictions where the Fund is being marketed,
Prepare and submit all mandatory reports, regulatory returns, and statutory filings to the IFSCA, GIFT SEZ authorities (e.g., Monthly/Annual Performance Reports, SERF, etc.), and other relevant bodies within prescribed timelines,
Interacting with the statutory authorities for approvals & clarifications,
Reporting compliances under the IFSC, SEBI, RBI regulations / guidelines, etc.
Maintaining a repository of statutory records and information.

Role Specific Competencies:
Extensive knowledge of regulatory frameworks governing FMEs, including IFSCA (Fund Management), SEBI (AIF/FPI), SEZ, FEMA, and PMLA regulations,
Excellent written and oral communication skills, with strong drafting abilities for policies and regulatory documents.
Formal Qualifications / Prior Work Exp:
Educational Qualification: A professionally qualified Chartered Accountant (CA), Company Secretary (CS), Chartered Financial Analyst (CFA), FRM from Global Association of Risk Professionals, LLB or any equivalent qualification from professional bodies or institutes in India or foreign jurisdiction.
Work Experience: Minimum 7 years of relevant experience in a FME, of which minimum 5 years' experience in compliance/risk management, particularly in securities law or financial regulatory compliance.
Experience in handling regulatory inspections and audits independently, Prior experience in handling compliance for a Fund Management Entity operating under the IFSCA or SEZ framework is preferred.
